Establishing a legal identity for your business is an important step in the tech company lifecycle. In this workshop, Matt Fagan of Goodwin Procter will discuss why, when, and how to incorporate. We’ll address issues like choosing the correct corporate form (LLC, LLP, S-Corp, C-Corp) and where you can incorporate. We’ll also talk about what documents you need to file and walk through some real-world examples of shareholder agreements, articles of incorporation, and corporate bylaws.
Mentor Bio:
Matt Fagan is a counsel in the Life Sciences group at Goodwin Law. Matt represents clients in the medical device and computing technology spaces, holistically protecting hardware and software innovations with patents, copyrights, and trade secrets. He also provides strategic IP portfolio management, counseling related to patent and copyright infringement, and competitive landscape analyses.
Matt has also represented pro bono clients through the Volunteer Lawyers for the Arts and the Texas Volunteer Legal Services COVID-19 Eviction Task Force. In his spare time, he works to close the gender gap in computer science; he teaches STEM in his community with Girls who Code and the Girl Scouts of Southwest Texas.
